What this is:

Fund IV is being organized to provide qualified investors exposure to non-operated working interests in domestic oil & gas assets. This Capital Pledge Agreement lets you indicate a non-binding amount you may want to invest—so our team can prepare the appropriate materials and plan allocations.

What this is not:

This pledge is not an offer to sell (or a solicitation to buy) any securities. Any investment decision will only be made after you receive, review, and complete the formal offering documents, and Basin accepts your subscription.

Capital Pledge Agreement

We appreciate your interest to subscribe for an investment (“Offering”) in an as-yet undeveloped fund that Basin Ventures II, LLC (“Basin” or the “Company”) is organizing. Basin provides investment opportunities that offer high net worth individuals, investors, and family offices exposure to non-operated working interests in domestic oil and gas assets. To customize the forthcoming Offering Documents, please provide your information and countersign below. Understanding that the Offering is in high demand, you acknowledge and agree to the following:

Checkbox 1(Required)

The undersigned shall not, directly or indirectly, use any information provided except for the specific purpose of considering and evaluating a possible investment in the Offering. Nor shall the undersigned disclose any information concerning the Offering to any person without our advance written consent. The undersigned agrees that the information and documents provided hereunder are confidential.

The undersigned understands that the Offering is being made without registration under the Securities Act of 1933, as amended, or any securities law of any state of the United States or of any other jurisdiction, and is being made only to “accredited investors” (as defined in Rule 501 of Regulation D under the Securities Act of 1933), and that this document does not constitute an offer to sell or the solicitation of an offer to buy any securities in the Offering.

The undersigned acknowledges that any investment in the Offering is subject to the undersigned’s executing future documents that may include a Confidential Private Placement Memorandum, a Limited Liability Company Agreement, a Subscription Agreement, an Investor Questionnaire, or any other document required to complete the subscription (collectively, the “Offering Documents”), along with the Basin acceptance of the Offering Documents and the undersigned’s transfer of proceeds for the subscription.

The undersigned hereby expresses a soft-interest to invest the Investment Amount specified below in the Offering. Notwithstanding the immediately preceding sentence, nothing herein shall commit the undersigned to invest in the Offering or the Company to accept any subscription by the undersigned. The undersigned acknowledges that any subscription in the Offering may be accepted by Basin on a first-come, first-served basis in Basin’s sole, complete and unfettered discretion. The undersigned acknowledges that the Offering may close, or become oversubscribed, prior to the undersigned’s completing the Offering Documents, without recourse against the Company.
